Lux Real Estate Investments SA has outsourced its critical regulatory, fiscal, and administrative operations as well as most back-office processes to reputable service providers like depository banks, administrators, paying and calculation agents, security trustees, etc. With streamlined workflows, investors can be assured of faultless operations, full regulatory compliance, and safe and secure transactions. Incidentally, we utilize also experts like rating agencies, tax advisors, and law firms for statutory and regulatory issues.

All arrangements with Service Providers are institutionalized in written agreements setting fair terms. Lux Real Estate Investments SA may replace Service Providers and/or amend arrangements if needed. For their services rendered as Service Providers, each Service Provider will be entitled to a fee and reimbursement of costs as outlined in the Offering Memorandum.

The Service Providers only act in a function as service providers to Lux Real Estate Investments and the applicable Compartment and are not responsible for the activities of Lux Real Estate Investments SA. The Service Providers are not an investment or other adviser and will not participate in any investment decision-making process.

The liability of the Service Providers, in any of their functions, toward the Issuer is limited to damage resulting from their fraud, gross negligence, bad faith, or willful misconduct. No Service Provider can be held liable for any Force Majeure Event. Lux Real Estate Investments SA declares that it is prepared to indemnify each of the Service Providers generally against any liability concerning losses and damages that have occurred, which were imposed on it within the framework of fulfilling its tasks and duties under the applicable agreements, in so far as they are not the result of fraud, gross negligence, bad faith or willful misconduct.

Additionally, without prejudice to the agreed fees for these services, Lux Real Estate Investments SA  shall pay all the reasonable out-of-pocket expenses of the Service Providers (including, without limitation, reasonable attorneys' fees and costs) incurred by any of the Service Providers in connection with the respective agreements.

Bank

Lux Real Estate Investments SA  has appointed Alpha Group situated at The Point, 37 North Wharf Road, London, W2 1AF United Kingdom, and CITIBANK Europe PLC - Luxembourg branch as the banking service providers for financial transactions including deposits, currency exchange, hedging, and cash management.

Paying Agent

Lux Real Estate Investments has the appointed Quirin Privatbank AG as the Paying Agent under the terms of arrangements among the Issuer and the Paying Agent and as may be amended and restated from time to time. The Paying Agent will carry out certain tasks, including the provision of customary banking services for the Issuer as well as record-keeping services with respect to payments related to the Bonds issued by the Issuer.

Rating Agent

Egan-Jones Ratings Company was founded in 1995 and actively rated the creditworthiness of approximately 2000+ high-yield and high-grade U.S. corporate debt issuers. Egan-Jones positions itself as unique among nationally recognized statistical rating organizations (NRSROs) for being wholly investor-supported, a structure designed to minimize the potential for conflicts of interest in assessing credit quality. The firm was granted NRSRO status on December 21, 2007, making it the ninth organization to be recognized by the SEC. Egan-Jones Ratings started providing ratings in 1995 to issue timely, accurate ratings. The firm rapidly gained credibility by flagging the failures of Enron and WorldCom and has since established itself as a leading global provider of credit ratings. Egan-Jones is a Nationally Recognized Statistical Ratings Organization (NRSRO) and is recognized by the National Association of Insurance Commissioners (NAIC) as a Credit Rating Provider. Egan-Jones is also certified by the European Securities and Markets Authority (ESMA). Studies by the Federal Reserve and prestigious academic institutions confirm that over time, ratings from the largest NRSROs tend to converge toward the Egan-Jones Rating. The effectiveness of Egan-Jones’ investor-supported credit ratings has been measured by third parties, including Richard D. The auditor of Lux Real Estate Investments SA is Deloitte Audit in its capacity as Reviseur d'Entreprises agréé. The company is a private limited liability company (société à responsabilité limitée), incorporated, existing, and organized under the laws of Luxembourg, registered with the RCS under number B67895. The auditor is a member of the Luxembourg Institute of Auditors (lnstitut des reviseurs d'entreprises). Lux Real Estate Investments SA has commissioned Hoche Partners Corporate Services S.A.S. as the Corporate Services Agent pursuant to the Corporate Services Agreement, entered into by and between the Issuer and Hoche Partners Corporate Services S.A.S.

The Corporate Services Agent shall provide domiciliation and general corporate services to the Issuer including compliance with Anti-Money Laundering, Anti-Terrorist Financing, and Tax Evasion.

Dusseldorf Exchange

The Dusseldorf exchange is located in North Rhine-Westphalia, one of the most important economic and financial locations in Germany. According to its website, there are more than 17,000 securities listed on DUS including bonds, investment funds, stocks, exchange-traded funds (ETFs), and asset-class commodities.

It has nine of the DAX 30 companies—the most important companies in Germany—roughly 400 banks, savings banks, and financial services institutions, along with more than 170 insurance companies.

Securities Trustees

Securitization is the process in which commercial or residential real estate loans are pooled together, and packaged into a bond. For the securitization of these bonds, Lux Real Estate Investments SA renders the services of several international law firms. The secured assets are titles, rights, leases, mortgages on real estate as well as share pledges of the companies that own them and occasionally complementary guarantees like bank guarantees, promissory notes, letters of credit, term deposits, blocked cash funds, etc.
