Currently, in excess of 1,500 securitization vehicles have been established in Luxembourg, with the majority operated by global real estate investment companies. Two decades have now passed since the Luxembourg Law of 22 March 2004 on securitization (the “Securitization Law”) came into effect, aimed at boosting Luxembourg's position as a financial hub by introducing an appealing mechanism for international financial transactions.
Securitization, a form of structured financing, involves the transfer of a pool of similar assets, such as loans or receivables, from an "originator" to a securitization entity. This entity issues securities or other financial instruments to finance the purchase of these assets.
The repayment and the interest payments of the issued (asset-backed) securities are secured exclusively by the transferred assets and the cash flows resulting from these assets. The securitization framework provides bondholders full protection of their rights and claims.
The assets in which the vehicle invests are segregated and organized in a dedicated legal compartment that remains at all times under strict control of an independent securities trustee, ensuring that bondholders retain a senior position on these assets throughout the whole investment period. Bondholders in a specific compartment are protected against claims from other compartment bondholders.
